LICENSE AGREEMENT
This License Agreement governs the rights and obligations of the Customer and Designtech  Projektsamverkan AB (hereinafter referred to as "Designtech") regarding the web service called iCoordinator.com on the Internet.

 1 Definitions

1.1 Customer means the person who register a mobile project on iCoordinator.com provided by Designtech, and thereby assumes payment responsibility for the same vis-à-vis Designtech. The Customer is also payment responsible for the actions taken by any member of the system specific role called 'Administrator' within iCoordinator.com

1.2 Project Administrator means a person who is a member of a system specific role called 'Administrator' within iCoordinator.com A Project Administrator can invite persons to participate in a mobile project operated on iCoordinator.com There can be many Project Administrators in a Mobile Project.

1.3 Project Member means a person who, following an invitation from any Project Administrator, registers and, via a password, gains access to the web service iCoordinator.com provided by Designtech.

1.4 Mobile Project means a web based payment service provided to the Customer and Project Members by Designtech. The service includes entry and tracking of time, storage space for electronic documentation, tools for project management and other services related thereto from time to time.

1.5 User is a collective design for all users within a specific Mobile Project, i.e. one Customer and one to many Project Members.

1.6 My Mobile Workspace means an individual free service provided to Users by Designtech.

2 Designtech's Undertakings

2.1 Designtech undertakes to provide the Users with access to Mobile Project as specified in detail in this License Agreement and as set forth from time to time on Designtech's web site: http://www.iCoordinator.com In the event of any conflict between this License Agreement and that which is stated on the aforementioned web site, this License Agreement shall take precedence.

2.2 Designtech undertakes to adopt reasonable measures in order to ensure that the Users Mobile Project are available over the Internet around the clock, seven days a week. Although, Designtech shall be entitled to take measures that affect the aforementioned accessibility where Designtech deems such to be necessary for technical, maintenance, operational, or security reasons. Information regarding such measures will be notified on the web site http://www.iCoordinator.com

2.3 Designtech shall be entitled to retain subcontractors for the performance of undertakings in accordance with this License Agreement. Designtech shall be liable for the subcontactors' work and services in the same manner as for its own work and services.

2.4 Designtech shall not be responsible for loss or distortion of the information stored at or forwarded electronically on the Mobile Project or otherwise through services provided by Designtech where such is not due to the negligence or intentional acts of Designtech.

3 The Users Undertakings

3.1 The User shall comply with this License Agreement and the security and administrative regulations available at http://www.iCoordinator.com

3.2 The User is responsible for its own Internet connections and is also aware and acknowledges that the Users access to the Internet cannot be guaranteed and that Designtech shall not be liable for deficiencies in it.

4 The Customer's Undertakings

4.1 The Customer shall comply with this License Agreement and the security and administrative regulations available at http://www.iCoordinator.com

4.2 The Customer shall ensure that all details provided regarding invoicing information are correct and undertakes to update such information regularly.

4.3 The Customer shall be responsible for the activities conducted by the Users within the Mobile Project and shall ensure compliance with national laws in conjunction therewith.

4.4 The Customer shall be liable vis-à-vis Designtech for ensuring that information transferred to or handled within the Mobile Project which is processed by the Users does not infringe any third party rights nor in any other manner violates governing legislation, and that the Users possess such necessary licences from third parties as may be required in order to process the documents/use the services available at iCoordinator.com

4.5 The Customer is obligated to notify Designtech regarding any suspected breach of these provisions.

4.6 The Customer is responsible for its own Internet connections and is also aware and acknowledges that the Customer's access to the Internet cannot be guaranteed and that Designtech shall not be liable for deficiencies in it.

4.7 The Customer is not entitled to assign a Mobile Project to a third party.


5 Payment Terms and Conditions

5.1 The Customer shall pay compensation for the Mobile Project in accordance with the price list applied by Designtech from time to time on Designtech's web site: http://www.iCoordinator.com

5.2 All Mobile Projects provided by Designtech shall be debited to the Customer in advance for a selected period. Payment shall be made by the Customer against the purchase as per the Apple’s App Store purchase process.

5.4 In the event of early termination of a Mobile Project, the Customer shall not be entitled to a refund of prepaid fees.

6 Right of the Intellectual Property of Mobile Projects

6.1 Designtech shall hold title to all intellectual property rights and technical solutions or, in the alternative, shall possess a sole right to use the same. Such intellectual property rights and technical solutions may only be used by the Customer in the manner stated in this License Agreement. Under no circumstances shall the Customer or a third party acquire any intellectual property rights to the services or to the software or technical solutions used in the service, or to any business mark belonging to or used by Designtech.

7 Support and error notices

7.1 Designtech provides support by e-mail in connection with use of Mobile Project. Such support is provided on weekdays (excluding public holidays) during Designtech's ordinary office hours and to the reasonable extent decided upon in detail by Designtech. Support will be charged based on the details provided on the website http://www.iCoordinator.com

7.2 Enquiries and/or error notices must be submitted to Designtech by e-mail in accordance with contact information available on the web site: http://www.iCoordinator.com

8 Customer Consent of Processing Personal Data

8.1 In order for the Customer to be able to register a Mobile Projects, the Customer must provide certain data to Designtech regarding the Customer's representatives, e.g. name, and e-mail address.

8.2 Following receipt of such data, Designtech will process the same using automatic data processing in order to enable Designtech to administer and otherwise perform its undertakings within the scope of the service.

8.3 According to the Personal Data Act, Designtech must obtain the consent of the registered persons (i.e. the Customer's representatives) to the processing of the relevant personal data by Designtech.

By accepting this License Agreement, the Customer's representative (i.e. the person in respect of whom the Customer provides necessary personal data for registration) consents to Designtech processing all the personal data that is required in order for the Customer to be able to register and participate in a Mobile Project.

9 User Consent of Processing Personal Data

9.1 In order for the User to be able to participate in a Mobile Project, the User must provide certain data to Designtech, e.g. name and e-mail address.

9.2 Following receipt of such data, Designtech will process the same using automatic data processing in order to enable Designtech to administer and otherwise perform its undertakings within the scope of the service.

According to the Personal Data Act, Designtech must obtain the consent of the registered Users to the processing of the relevant personal data by Designtech.

By accepting this License Agreement, the User consents to Designtech processing all the personal data that is required in order for the User to be able to participate in a Mobile Project.

10 The Customer's Responsibility for Project Members, etc.

10.1 The Customer undertakes, as primary guarantor, to perform all of the Project Members' undertakings or to ensure that Project Members perform their undertakings towards Designtech. To the extent the Customer is unable to perform an undertaking on behalf of a Project Member or is unable to cause the Project Member to perform the same, the Customer shall instead indemnify Designtech insofar as Designtech incurs any loss, provided that such loss is related to the non-performance by the Project Member of its obligations to Designtech.

10.2 The Customer shall further indemnify Designtech for claims brought directly against Designtech by Project Members and/or third parties that are connected to information processed by Users within Mobile Projects or for which the User is otherwise responsible, unless Designtech is liable for such claim in accordance with the provisions of section 11, "Designtech's Limited Liability, etc." below.

10.3 The Customer is responsible for all of the Users published material in a Mobile Project. Every page is marked with the owner of the information but this is only for information purpose and doesn´t deprive the Customers responsibility.

11 Designtech's Limited Liability, etc.

11.1 Subject to the limitations set forth in this License Agreement, Designtech shall be liable for losses resulting from Designtech's negligence.

11.2 In the event of defects or deficiencies attributable to Designtech, Designtech undertakes to act to rectify such defect without unreasonable delay. In the absence of intent or gross negligence by Designtech, Designtech otherwise assumes no responsibility for defects or deficiencies in a Mobile Project and services included therein. Error notification must be given by the Customer in accordance with the instructions announced by Designtech from time to time and within a reasonable time of the discovery of the defect.

11.3 The Customer shall not be entitled to a reduction in payment, or to damages or other sanctions in the event of operational disruption or errors that impede traffic that are not due to negligence by Designtech.

11.4 Where operational disruptions or traffic errors occur to such an extent that a User does not have access to Mobile Project during a period in excess of one (1) month, the Customer shall be entitled to terminate the License Agreement in writing in the manner set forth below, and such termination shall constitute the Customer's sole remedy. In connection with termination of the License Agreement pursuant to this provision, the Customer shall be responsible for the repossession of information stored by the Customer with Designtech.

11.5 Designtech's liability under this License Agreement shall be limited as follows. Designtech's total liability in damages for each Mobile Project shall be limited to direct losses in an amount corresponding to the agreed fees paid by the Customer for the relevant Mobile Project during the period of 6 months immediately prior to the breach of contract that entitles the Customer to damages.

11.6 In the absence of intent or gross negligence by Designtech, under no circumstances shall Designtech be liable for indirect losses, loss of profits or anticipated savings, loss of revenue, loss of data, or third party claims.

11.7 The Customer may claim sanctions in accordance with the above only where the Customer provides Designtech with notice thereof not later than 30 days after the Customer knew, or should have been aware, of the grounds for the claim.

12 Password, etc.

12.1 The User shall ensure that identities, passwords, and equivalent allocated by Designtech are stored and used in a secure manner.

12.2 Where it is suspected that any unauthorised person has become aware of the user identity and/or password, the User shall immediately inform Designtech thereof.

12.3 The User shall be liable for losses or damage incurred by Designtech where the User intentionally or negligently reveals the user identity/password to a third party or where the user identity and password otherwise become known to an unauthorised party, unless the User notifies Designtech immediately upon suspicion that such has occurred.

12.4 After Designtech has been notified of a suspicion that an unauthorised person has become aware of the user identity/password, the User shall be liable for Designtech's acts or omissions only where the User has acted with intent or gross negligence.

13 Restrictions on Access to Mobile Project

13.1 In the event the Customer's use of Mobile Project occasions any loss or the risk of loss to Designtech, Designtech shall be entitled to restrict access to Mobile Project by one or all of the Users, or to prevent continued use of the Mobile Project, and otherwise to take measures that are defensible in light of the circumstances. Designtech shall notify the Customer as soon as possible in the event of the imposition of a restriction on access to a Mobile Project.

13.2 Designtech shall be entitled to immediately prevent continued dissemination of information in a Mobile Project where it may be reasonably assumed that continued dissemination violates governing law or administrative or security regulations. Designtech shall notify the Customer where Designtech removes information from such Mobile Project.

14 Force Majeure

14.1 A party shall be released from liability in damages and other sanctions where the performance of a specific obligation is prevented or rendered onerous due to circumstances beyond a party's control and which could not reasonably have been foreseen. Such force majeure events include, inter alia, labour conflicts, lightning, fire, decisions of public authorities or other public regulations, errors in another operator's network, delays in services from subcontractors due to events as stated above, general scarcity of transport, goods, or energy, or other similar circumstances.

14.2 Where a party's performance is prevented for a period in excess of one month due to an event as stated above, either party shall be entitled to terminate the License Agreement in writing without any obligation to pay compensation.

15 Confidentiality, etc.

15.1 Designtech shall not be entitled to review information stored and/or processed by a User in a Mobile Project.

15.2 Designtech undertakes not to disclose to any third party, or otherwise make available, information received by Designtech from Users within the scope of the License Agreement. "Third party" in this paragraph shall not mean the Customer or Project Member who has access to the same Mobile Project, unless the Project Members' authorisation and access to the Mobile Project is specifically restricted by the Customer. This confidentiality obligation shall not apply to such information as Designtech can demonstrate became known to Designtech other than pertaining to this License Agreement or which is in the public domain. Nor shall the duty of confidentiality apply where a party is obligated to provide information pertaining to law or public authority regulations or orders. The duty of confidentiality shall remain in force notwithstanding the termination of the License Agreement.

16 Modifications, Amendments and Supplements

16.1 In order to facilitate a further development of the iCoordinator.com-concept, Designtech reserves the right to effect modifications to the design, operational method, technical specifications, systems, and other functions, etc. of the service.

16.2 Designtech further reserves the right to amend the terms and conditions of this License Agreement including, but not limited to, the prices charged by Designtech from time to time. The Customer shall be informed of such amendments by e-mail or through the information being made available on the web site: http://www.iCoordinator.com The Customer shall be deemed to have received such notice within one week of the notice being sent by e-mail or made available on the web site: http://www.iCoordinator.com Where the Customer does not accept the amendment, the Customer shall be entitled, within thirty (30) calendar days from the date of despatch of the e-mail or, where appropriate, thirty (30) calendar days from the amendment being published on the web site: http://www.iCoordinator.com, to terminate the License Agreement with immediate effect. Where the License Agreement is not terminated by the Customer within the aforementioned time, the Customer shall be deemed to have accepted the new terms and conditions.

17 Term of License Agreement and Termination

17.1 This License Agreement shall enter into force upon acceptance by the Customer of these terms and conditions through execution of this License Agreement. This License Agreement shall remain in force for an indefinite term subject to 1 month's notice of termination by either party.

17.2 Upon termination of the License Agreement, Designtech shall not be responsible for the information generated by the Customer and its Project Members within the scope of a Mobile Project. Accordingly, the Customer must ensure that it possesses the necessary back-up copies, etc. of the information that it desires to save.

17.3 Designtech shall be entitled to delete all information stored at Designtech within the scope of a Mobile Project one (1) month after the termination of the License Agreement with the Customer.

18 Designtech's rights to Premature Termination

Designtech shall be entitled, with immediate effect, to block the Users access to a Mobile Project or to prematurely terminate the License Agreement in writing where:

18.1 the Users uses the Mobile Project in a manner that entails the perpetration of a crime;

18.2 the Users uses the Mobile Project in a manner that occasions losses or the risk of loss for Designtech or any third party;

18.3 the Users uses the Mobile Project in a manner that violates Designtech's security or administrative regulations; or

18.4 notwithstanding reminders, the Customer fails to pay agreed compensation to Designtech within a stated time;

18.5 the Users uses the Mobile Project in a manner whereby the Users utilises resources or seeks unauthorised access to Designtech's systems which are not intended for the Users;

18.6 the Users otherwise fails to comply with the above and such breach of contract is material; or

18.7 the Customer is placed into insolvent liquidation or is otherwise insolvent.

18.8 the Users uses the Mobile Project to publish electronic material that is illegal, pornographic or in any way offending

19 The Customers rights to Premature Termination

The Customer shall be entitled to prematurely terminate the License Agreement in writing where:

19.1 Designtech is in material breach of its obligations under the License Agreement and fails to effect rectification within 14 days of a demand therefor

19.2 Designtech is placed into insolvent liquidation or is otherwise insolvent.

20 Assignment

20.1 Designtech shall be entitled, in whole or in part, to assign its rights and obligations under the License Agreement with the Customer to a company within the same de jure or de facto group of companies as Designtech without the Customer's prior consent.

20.2 The Customer shall not be entitled to assign its rights or obligations under this License Agreement without Designtech's written consent. Where the Customer assigns its rights and obligations under this License Agreement, and the new party fails to perform its obligations, the Customer shall be liable for the performance of such obligations.

21 Governing Law and Disputes

21.1 This License Agreement and the ensuing relationship between Designtech and the Customer shall be construed in accordance with, and governed by, the laws of Sweden.

21.2 In the event of any dispute relating to this License Agreement, the parties agree to initially make a full and good faith attempt to resolve such dispute by negotiation at an executive level, to the extent reasonable under the circumstances, prior to commencing court proceedings.

21.3 All disputes relating to this License Agreement shall be adjudicated in Stockholm, Sweden, with the District Court of Stockholm (Stockholms tingsrätt) as the court of first instance.

22 Authorisation

22.1 The signatory to this License Agreement is hereby admonished that he/she is responsible for ensuring that authorisation exists to bind the Customer through such execution.

23 Privacy Policy

23.1 Designtech value users privacy and are dedicated to protecting the information and providing  with notice about our information collection and use practices and how you have a choice to opt-in/out of any marketing or promotional contact from us. By voluntarily sharing personally identifiable information by means of registering on a Mobile project on iCoordinator.com, you agree to the following privacy policy.

23.2 Personally Identifiable Information. When you register the Mobile project on iCoordinator.com, you must complete a registration form that requires you to provide Personal Information (including, without limitation, your name and email address).

23.3 Announcement Email Information. From time to time we provide information about our products to our customers in the form of email. Announcement Emails will be emailed directly to the address that you provide when you register. You can opt-out by sending a mail to support@icoordinator.com  with subject line as “Opt-out” in the mail.

23.4 We may place email links and or forms on our Website to allow you to contact us directly. The Personal Information you provide in these links and forms is used to respond directly to your questions or comments. We may also file your comments to improve our website, products, or process, or review and discard the Personal Information. All information, other than the Personal Information that you send to Designtech using these email links or forms, will not be considered or treated as confidential information. Do not send us any information, ideas, suggestions, proposals, or comments that you consider confidential or that you want to be treated as confidential.

23.5 Use of Your Personally Identifiable Information. We use Personal Information to respond to your inquiries, improve our marketing and promotional efforts, to analyze Licensed Application and service offers, and to customize our services and Licensed Application(s). We may use Personal Information to deliver information to you and to contact you regarding administrative notices. We may also use Personal Information to resolve disputes and troubleshoot problems.

23.6 We may use additional information not considered Personally Identifiable to analyze and improve troubleshooting techniques and responses, and to improve the value of Licensed Application(s) and services provided by Designtech or third parties.

23.7 If the email address you provide us is an email address that you access via a wireless device, you understand that your wireless carrier's standard rates apply to these messages, and that you may change your mind at any time and elect to not receive such messages. You also represent that you are the owner or authorized user of the wireless device on which the messages may be received, and that you understand and are authorized to approve the applicable charges.

23.8 Required Disclosures. Designtech may disclose Personal Information if required to do so by law or in the good-faith belief that such action is necessary to prevent injury or property damage. We will usually attempt to notify you when we are making such a disclosure, but we may not do so in an emergency or when we are prohibited by law or court order from giving such notice.

23.9 Information Sharing and Third Party Service Partners. Designtech does not rent, sell, or share personal information about you with other people or non-affiliated companies without your consent or unless we have a good faith belief that access, use, preservation, or disclosure is reasonably necessary to (a) satisfy any law, regulation, legal process or enforceable governmental request, (b) enforce any applicable Terms of Service (including investigation of potential violations thereof), or (c) detect, prevent or otherwise address fraud, security, or technical issues.

Designtech may provide services for the Licensed Application through contractual arrangements with affiliates, service providers, partners and other third parties ("Service Partners"). Designtech and its Service Partners use your Personal Information to operate and deliver their products and services. Unless otherwise agreed by you in a separate agreement, Designtech's Service Partners may not use your Personal Information to inform you of other products or services available from those Service Providers.

23.10 Opt-Out Policy. Designtech allows you to opt out of our use of your Personal Information for purposes other than the purpose for which it was provided. This includes, by way of example, marketing and promotional mailings relating to Designtech products and services. You can opt-out by sending a mail to support@icoordinator.com  with subject line as “Opt-out” in the mail. Once you have opted out from receiving marketing and promotional materials, we will not send you any additional materials other than those required by our service agreement with you.

23.11 Security. Designtech undertakes practical and reasonable steps to protect Personal Information from unauthorized or accidental access, disclosure, misuse or processing, or from alteration, destruction, or loss. Personal Information that we collect resides on servers operated by Designtech and is accessible only to personnel who, by virtue of their duties, are required to have access and have been trained in, and tasked with, the observance of the principles embodied in this Privacy Policy.

23.11 Enforcement. If you have any questions or complaints regarding how your Personal Information is treated under this Policy or generally about the implementation of the principles of this policy, we encourage you to contact us.

23.12 Changes to Privacy Policy. Should we decide to change this Privacy Policy, we will update it with the release or update of the Licensed Application on Apple's App Store or iCoordinator.com  so that you will always know what Personal Information we gather, how we might use it, and whether we will disclose it to anyone. Unless you opt out of receiving Announcement Emails from us, as you may do so in the manner described herein, we may also notify you by email of changes to this Privacy Policy.
